COOL4SCHOOL END-USER LICENSE AGREEMENT FOR SCHOOLS, EDUCATION ESTABLISHMENTS AND MUSIC EDUCATORS
This Agreement licenses the use of software to you and contains warranty and liability disclaimers.
1. DEFINITIONS
(a) “Cool4School Software” means the software program covered by this Agreement, and all related updates supplied by Cool4School.
(b) “Cool4School Web App” means the Cool4School Software and any related documentation, models and multimedia content (such as animation, sound and graphics), and all related updates supplied by Cool4School.
(c) “End-User Product” means the output file generated by you, if any, using the Cool4School Software. Examples of End-User Products include presentations and recorded performance.
2. LICENSE
The Cool4School License Agreement allows you to:
(a) Use the Cool4School Product within the agreed institution as defined on your purchase invoice.
3. RESTRICTIONS
You may not make or distribute copies of the Cool4School Product other than the agreed amount on your sales invoice. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Cool4School Software to a human-perceivable form. You may not modify, rent, resell for profit, distribute or create derivative works based upon the Cool4School Product or any part thereof.
4. OWNERSHIP
The foregoing license gives you limited rights to use the Cool4School Product. You do not become the owner of, and Cool4School Software retains title to, the Cool4School Product, and all copies thereof. All rights not specifically granted in this Agreement, including International Copyrights, are reserved by Cool4School Software.
5. LIMITATION OF DAMAGES:
Cool4School Software SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSS (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF Cool4School Software OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the bargain between Cool4School Software and you. You agree that Cool4School Software would not be able to provide the Cool4School Software on an economic basis without such limitations.
6. CANCELLATION AND RENEWAL
If a cancellation of subscription is requested after 4 weeks following the delivery date specified on the invoice, the full subscription fee is payable.
The customer will be informed 4 weeks before the subscription renewal is due. The customer is not required to renew a subscription.
